Keep share capital separate

German GmbH
€25,000 minimum share capital; from €12,500 initial payment for a cash incorporation¹
Georgian LLC
Capital depends on the formation structure²; this model assumes a €0 contribution

A capital contribution is not a formation fee. It is available to the company for business purposes; any unpaid balance remains due. Capital is therefore excluded from the fee total.

Package scope and VAT/tax treatment as specified in the individual offer. Add certification, apostilles, delivery, bank fees and ongoing costs only where not already included.

How it is calculated

Germany: notary/register + business registration (+ other costs). Georgia: StartKap package (+ other costs). Share capital is not added.

Figures, assumptions & sources (as of 29 October 2026)

Formation: €1,250 for notary/register as the midpoint of the previously discussed range, not a fee calculation under Germany’s GNotKG. Frankfurt business registration is €36 with confirmation (€28 without). No GEL conversion or tax, travel or exchange-rate effects are modelled.

¹ GmbHG § 5 and § 7: minimum capital and payment requirements; a simplified cash incorporation of a GmbH, not a UG. ² Georgian Law on Entrepreneurs, Article 134: LLC capital is defined in the formation documents.
